01 - Club psora Service

The CLUB PSORA Service gives you the opportunity to interact with a community of individuals with psoriasis and other prolonged skin conditions interested in healing naturally. Specifically, we want to provide a roadmap for taking control of your life and guiding your mind/body to homeostasis, a state of equilibrium. The CLUB PSORA service provides a way to join a Community of likeminded individuals with similar challenges and grants you access to unique educational opportunities as well as knowledge of treatments and a lifestyle that works best for you.

02 - Access To The Site - Account

2.1 - In order to use most aspects of the Service, you must register for and maintain an active personal user service account ("Account"). You must be at least 18 years of age to set up an Account and use our Service. Account registration requires you to submit to us certain personal information, such as your name, address, mobile phone number, email address and age, as well as at least one valid payment method supported by CLUB PSORA. You will also be required to authorize us to access your location, either permanently or only when using the Site or App, for the purposes of taking advantage of all features of the Service. This option can be changed at any time through your Account. Any information provided to CLUB PSORA will be handled in accordance with our Privacy Policy.

2.2 - You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access or use the Service. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times. Unless otherwise permitted by CLUB PSORA in writing, each user may only possess one Account.

2.3 - Your access to and use of the Site and/or App may be interrupted from time to time as a result of equipment malfunction, updating, maintenance or repair of the Site and/or App or any other reason within or outside the control of CLUB PSORA. CLUB PSORA reserves the right to suspend or discontinue the availability of the Site and/or App or any Service and/or remove any content at any time at its sole discretion and without prior notice. CLUB PSORA may also impose limits on certain features and services or restrict your access to parts of or all of the Site and/or App and Service without notice or liability.

03 - User Conduct

As a condition of use of the Service, you covenant that you shall not use the Service for any purpose that is illegal, unlawful or prohibited by these Terms, or for any other purpose not reasonably intended by CLUB PSORA. You agree not to use the Service, indicatively (and in no way by way of limitation):

• To abuse, harass, threaten, impersonate, or intimidate any person.
• To post or transmit, or cause to be posted or transmitted, any content that is libelous, defamatory, obscene, pornographic, abusive, offensive, or that infringes any copyright, trademark, or other right of any person.
• For any purpose that is not permitted under the laws of the jurisdiction where you use the Service.
• To post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any CLUB PSORA user.
• To create or transmit unwanted ‘spam’ to any person or any URL.
• To alter content, comments, or any other Service or for the purpose of giving or receiving money or other compensation from users or third parties, or for participating in any other organized effort that in any way artificially alters the Service.
• To advertise to, or solicit, any user to buy or sell any products or services, or to use any information obtained from the Service in order to contact, advertise to, solicit, or sell to any user without their prior explicit consent.
• To sell or otherwise transfer your account.
• To use the Service as a generic image hosting service such as for banner advertising, etc.

04 - User Content

4.1 - CLUB PSORA may allow you to post content, including photos, comments, links, reviews, and other materials. Anything that you post or otherwise make available on the Site and/or App is referred to as "User Content". You retain all rights in, and are solely responsible for, the User Content you post to CLUB PSORA. By uploading or submitting content to our Site, you grant CLUB PSORA (and our affiliates) a worldwide, non-exclusive license to reproduce, distribute, host, make modifications or derivative works, publicly display, publicly perform, publish, reproduce, store, and use such content. The license granted by you is only for the purposes of operating, marketing, promoting, and improving our Service.

4.2 - If you deactivate or delete your Account, the above license will end. User Content may still be used, stored, displayed, reproduced, modified, used for creating derivative works, performed, and distributed, if other users have stored or shared it on the CLUB PSORA Service.

4.3 - If you have any questions, or concerns about use, retention, and deletion of your User Content, please do not hesitate to contact us.

4.4 - CLUB PSORA does not claim any intellectual property rights over the material you provide to the Site, including User Content. You retain all right and ownership of your content. You can delete your content at any time.

4.5 - User Content is posted on the Site or App and is publicly accessible. On the contrary, information you provide to CLUB PSORA for the purpose of setting up your Account is subject to our Privacy Policy. CLUB PSORA will not disclose your confidential information to third parties, except as required in the course of providing its services and in accordance with our Privacy Policy. Confidential information includes any materials or information provided by you to CLUB PSORA which is not publicly known. Confidential information does not include information that: (a) was in the public domain at the time CLUB PSORA received it; (b) falls into the public domain after CLUB PSORA received it through no fault of CLUB PSORA; (c) CLUB PSORA received from someone other than you without breach of CLUB PSORA’s or their confidentiality obligations; or (d) information independently developed by CLUB PSORA without use of information provided by you.

4.6 - CLUB PSORA makes no representation that content posted on the Site or App will not be unlawfully copied or used by third parties without your consent, as User Content becomes public when it is posted to the Site or App. CLUB PSORA shall bear no liability for such unauthorized actions, which are beyond CLUB PSORA’s control.

6.1 - Subject to your compliance with these Terms, CLUB PSORA grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Site and App on your personal device solely in connection with your use of the Service; and (ii) access and use any content, information and related materials that may be made available through the Service, in each case solely for your personal, noncommercial use.

6.2 - Any rights not expressly granted herein are reserved by CLUB PSORA and its licensors. Indicatively, but not by way of limitation, you are not allowed to use, copy, distribute, edit or adjust any part of the Site or the App or any material provided by CLUB PSORA in connection with the provision of the Services. Further, you are not allowed to use in any way any of CLUB PSORA’s intellectual property, including, trademarks, service marks, trade names, trade dress, software, copyrights, designs, patents, and associated rights.

07 - Club Psora’s Rights

CLUB PSORA reserves the right to:

• Interrupt, modify or terminate the Service for any reason, without notice at any time;
• Refuse service to anyone for any reason at any time;
• Deactivate user accounts of users whose conduct or content is, in CLUB PSORA’s sole discretion, unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or that violates any party’s intellectual property or these Terms of Use (or alternatively, remove any such User Content);
• Ban any user from using the Service for any reason, including, but not limited to, a member who is the subject of repeated DMCA notifications;
• Remove any User Content that, in CLUB PSORA’s opinion, violates these Terms or is in any way harmful or objectionable;

08 - Limitation Of Liability In No Event Will Club Psora, Or Its Suppliers Or Licensors, Be Liable With Respect To Any Subject Matter Of These Terms Under Any Contract, Negligence, Strict Liability Or Other Legal Or Equitable Theory For:

(i) - Any Special, Punitive, Indirect Or Consequential Damages Of Any Kind, Or Any Damages Whatsoever, Including, Without Limitation, Those Resulting From Loss Of Use, Data Or Profits, Whether Or Not Club Psora, Has Been Advised Of The Possibility Of Such Damages, And On Any Theory Of Liability, Arising Out Of Or In Connection With The Use Of The Service Or Of Any Website Referenced Or Linked To From The Service;

(ii) - The Cost Of Procurement Or Substitute Products Or Services;

(iii) - Any Third Party Goods And Services Offered Through The Service Or For Assistance In Conducting Commercial Transactions With Other Users Of The Site, Including Without Limitation Any Transaction Between A Customer And Host;

(iv) - Interruption Of Use Or Loss Or Corruption Of Data; Or

(V) - For Any Amounts That Exceed The Fees Paid By You To Club Psora, During The Twelve (12) Month Period Prior To The Cause Of Action. Club Psora, Shall Have No Liability For Any Failure Or Delay Due To Matters Beyond Their Reasonable Control. Club Psora, Shall Have No Liability For User Content Or Third-party Content Posted On The Site Or App And Shall At All Times Comply With Its Obligations Under The Digital Millenium Copyright Act. Some Jurisdictions Prohibit The Exclusion Or Limitation Of Liability For Consequential Or Incidental Damages, So The Above Limitations May Not Apply To You.

09 - Indemnification

You agree to indemnify, defend, and hold harmless CLUB PSORA from any and all claims, liabilities, expenses, and damages, including reasonable attorneys' fees and costs, made by any third party related to: (a) your use or attempted use of the Service in violation of these

Terms; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

10 - Payment And Fees

You shall input valid credit or debit card information upon registering to use the Service. By using our App and Site, you represent and warrant that you are authorized to use the credit or debit card you have inputted. You authorize us to charge your credit or debit card for all fees incurred by you, subject to applicable sales taxes and other local government charges. If you choose to dispute any charge on your credit or debit card account, you shall contact us within 10 days of receipt of your statement containing the disputed charge. Refunds may be provided on a case-by-case basis, based on CLUB PSORA’s sole discretion and determination of relevant events.

11 - Medical Content

The content found on CLUB PSORA’s website, including text, graphics, images, information obtained from contributors and all other content, is offered on an informational basis only. No content is intended to be a substitute for professional medical advice, diagnosis, or treatment. You should always seek the advice and guidance of a qualified health provider before:

11.1 - Making any adjustment to any medication or treatment protocol you are currently using.

11.2 - Stopping any medication or treatment protocol you are currently using.

11.3 - Starting any new medication or treatment protocol, whether or not it was discussed on CLUB PSORA’s website or social media platforms. Information on this site is "generally informational" and not specifically applicable to any individual's medical problem(s), concerns and/or needs. If you think you may have a medical emergency, call your doctor or your local health emergency service immediately. If you choose to utilize any information provided by CLUB PSORA, you do so solely at your own risk. This site and its social media platforms may contain health and medical-related materials which some may find sexually explicit and personally offensive.

12 - Cancellation And Termination

12.1 - You may cancel your Service at anytime by emailing us at hello@clubpsora.com. Once cancellation is confirmed, all of your account details and any individually purchased content will remain in your Account.

12.2 - To Completely Delete Your Account, Email Hello@clubpsora.com. The Deletion Of All Data Is Final, Please Be Sure That You Do In Fact Want To Cancel Your Account Before Doing So.

12.3 - Without limiting any other remedies, CLUB PSORA may suspend or terminate your Account if it suspects that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Service, as well as for any other reason referenced in the Terms of Use.

13 - Modifications To The Services And Prices

13.1 - Prices for CLUB PSORA services are subject to change. Please make sure to check the Site and App for the most updated pricing information.

13.2 - CLUB PSORA shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

14 - Governing Law And Jurisdiction

14.1 - You agree that any dispute related to these Terms of Use will be governed by the laws of the State of New York, excluding its conflicts of law provisions. You further consent to the personal jurisdiction of and exclusive venue in the federal and state courts located in and serving New York County, New York as the legal forum for any such dispute.

14.2 - Excluding claims for injunctive or other equitable relief, for claims related to the Services where the total amount sought is less than ten thousand U.S. Dollars ($10,000.00 USD), either you or CLUB PSORA may elect at any point during the dispute to resolve the claim through binding arbitration. The dispute will then be resolved by arbitration in New York State, in the English language, administered by the American Arbitration Association (the “AAA”) under its Commercial Arbitration Rules then in effect (those rules are deemed to be incorporated by reference into this section). Any judgment rendered by the arbitrator may be entered in any court of competent jurisdiction.

15 - Miscellaneous

15.1 - These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and CLUB PSORA concerning the Service and use of the Site and App. If any provision of any such document is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions thereof, which shall remain in full force and effect. CLUB PSORA’s failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms of Use. CLUB PSORA may assign its rights and duties under these Terms of Use to any party at any time without notice to you.

15.2 - Most communication between CLUB PSORA and you will be sent and received electronically. You agree that all electronic communication between CLUB PSORA and you shall satisfy any legal requirements that such communications be in writing.

15.3 - You agree that CLUB PSORA may contact you by telephone or text messages (including by an automatic telephone dialing system) at any of the phone numbers provided by you or on your behalf in connection with a CLUB PSORA Account, including for marketing purposes. You understand that you are not required to provide this consent as a condition of purchasing or obtaining any goods or services, and that you will be provided with the opportunity to allow or disallow this contact option through your Account.

15.4 - You are responsible for obtaining the data network access necessary to use the Services. Your mobile network's data and messaging rates and fees may apply if you access or use the Services from your device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Service and any updates thereto. CLUB PSORA does not guarantee that the Service, or any portion thereof, will function on any particular hardware or device. In addition, the Service may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
